7.6. At the Board of Directors Meeting No. 10/2025 held on 15 October 2025, the Board of Directors resolved to
            approve the Regulation of Thailand Privilege Card Co., Ltd. on Investment, Investment Management and Investment
            Risk Management B.E. 2568 (2025), in order to ensure that the Company’s investment management is conducted
            with value, prudence, caution, transparency, efficiency, effectiveness, auditability and appropriate risk management,
            as well as to establish investment guidelines in compliance with relevant laws, regulations, and rules, and to manage
            investments for maximum benefit in supporting the Company’s long-term financial stability and business operations.


                 7.7. The Board of Directors approved in principle the budget framework (operating budget) within a five-year
            period in an amount not exceeding THB 248 million (Two hundred forty-eight million Baht only) for the project to
            procure a Contact Center service provider to provide services to Thailand Privilege members. The Company shall
            seek annual budget approval separately. The Board of Directors also instructed the Company to obtain additional
            information from experts and to invite experts to present system development approaches at Board meetings in
            order to achieve maximum operational efficiency for the Company.


                 7.8. Provided opinions and recommendations on operational approaches beneficial to the Company’s
            operations in areas including sales activities, marketing activities, and member engagement activities, as well as
            regularly monitoring performance reports on a quarterly basis, including the implementation of the annual business
            plan, the human resource management and development master plan, the information management plan, the good
            governance plan, the risk management plan, the direct selling plan, and the Company’s internal audit activities.

            8. Board of Directors Development



                 The Board of Directors has undertaken self-development by conducting Board self-assessments twice, both
            on an individual basis and as a group. The evaluation results were reported to the Board and jointly discussed
            at Board meetings in order to establish guidelines for improving the effectiveness of the Board’s performance.
            In addition, plans were established to enhance corporate governance efficiency of the Board of Directors and
            relationship-building activities for the year 2025, including the revised Long-term Good Corporate Governance Plan
            B.E. 2568–2570 (2025–2027) and the Good Corporate Governance Action Plan for the year 2025, with performance
            monitoring conducted on a quarterly basis. The Board of Directors also provided recommendations to ensure
            effective organizational governance.
                 Furthermore, during the fiscal year 2025, the Board of Directors attended training programs to enhance
            knowledge in Good Corporate Governance organized by the Thai Institute of Directors Association (IOD). The program
            aims to raise directors’ awareness of their roles and responsibilities as organizational leaders facing increasingly
            complex challenges in governance, strategic decision-making, risk management, and long-term value creation for
            the Company. Participation in the training enabled directors to gain a clearer understanding of corporate governance
            principles and governance structures, as well as an overall understanding of the roles, duties, and responsibilities
            of the Board of Directors, particularly in overseeing the Company’s compliance with applicable laws, regulations,
            and standards. It also provided a framework for determining organizational direction and driving the Company’s
            competitiveness effectively, creating value and achieving stable and sustainable growth. In addition, directors
            applied knowledge gained from the training to policy formulation and organizational management planning in order
            to further enhance operational efficiency, promote development in accordance with good governance principles,
            and drive the organization toward tangible sustainability, leading to strong long-term performance and effective
            achievement of the Company’s vision and mission.
